This position is based out of our Louisville, KY office location (4-1 hybrid schedule).
Under the supervision of the Assistant General Counsel, the Senior Corporate Counsel will provide comprehensive legal counsel, support, and risk analysis on a variety of topics across the enterprise. The individual in this position will act as the primary legal liaison to the Human Resources and Total Rewards Departments on labor and employment matters and support the Company in the management and resolution of disputes and litigation. The position will also liaise with outside counsel, draft, negotiate, and review various types of commercial transactions and company contracts, provide counsel to the Company’s various operating entities, including legal support of the Regulatory Compliance, Environmental, and Health & Safety Departments, support or lead internal and any external investigations as assigned, and work on special projects as assigned.
The ideal candidate will have substantial employment law (Union/Labor experience also preferred) and commercial contract experience, as well as excellent analytical skills, the ability to navigate complex state and federal regulatory statutes. Excellent communication skills to allow effective interactions with outside counsel and cross-functional team members, ability to work collaboratively and manage numerous projects simultaneously, and ability to provide real-time advisement and work independently to meet quick deadlines are also key.
How You Will Spend Your Time?
Act as the primary advisor and business partner to Human Resources and Total Rewards Departments to advise on all personnel and Union matters and act as co-lead to advance HR policy, procedure, and process to ensure Company compliance
Draft, review, and negotiate complex commercial contracts, requests for proposals, service agreements, engagement letters, and other legal documents to align with company strategy while ensuring risk mitigation and compliance with regulatory requirements
Manage employment matters, disputes, mediation, litigation, agency investigations, administrative hearings, and claims and coordinate with outside counsel as assigned
Interpret legislation, laws, rulings and regulations, and case law and advise Company on legal rights, remedies, and options, particularly as it relates to HR, employment, and Union/Labor matters
Oversee complex commercial negotiations, lead resolution of high-stakes disputes and claims in pre-litigation and liaise with outside counsel as needed
Partner with operations business functions to identify enterprise risks and mitigate with implementation of scalable solutions
Support Legal Department initiatives to improve processes and ways of working across departments and create collaborative solutions to reduce Company risk
Support the Assistant General Counsel and the General Counsel to provide legal support to executive and senior leadership of the Company as needed on a wide variety of projects
Manage other duties and special projects as assigned by the Assistant General Counsel or the General Counsel including acquisitions and divestitures, internal investigations, discovery, and other general corporate matters
Requirements
Required Skills and Experience
Bachelor’s Degree required
J.D. or LLM required from an ABA-accredited law school
Current Bar License in Kentucky or from a state with reciprocity with Kentucky
Minimum 8 years of experience working as an attorney required with a law firm and/or in-house
Minimum 4 years of experience in HR and Employment matters; labor law experience also preferred
Strong oral and written communication skills
Strong organizational skills, attention to detail, and problem-solving skills with a commitment to meeting deadlines
High ethical standards and commitment to regulatory compliance
Ability to manage a heavy workload and prioritize multiple projects with competing deadlines
Self-starter with ability to work autonomously while functioning well in a collaborative team environment
Ability to understand general business operations, issues, and dynamics beyond the scope of basic legal issues
Ability to identify and synthesize complex legal issues and communicate simply and effectively with members of other departments in order to support business functions
Excellent computer skills, with proficiency in Microsoft Word, Excel, PowerPoint, and Outlook
